- S&P’s USD 44 billion acquisition of IHSM: MTP has been monitoring on behalf of the CCB (Canada), the CMA (United Kingdom) and the European Commission the divestiture of four divestment businesses and the proper execution of certain behavioral commitments. Involvement of four hold-separate managers and complex disentanglement of shared customer contracts. Purchasers of the various Divestment Businesses were FactSet, Morningstar and News Corporation.
Elanco / Bayer Animal Health M.9554 EC
- Elanco’s USD 7.6 billion acquisition of Bayer Animal Health: MTP has been mandated by the European Commission to monitor the sale process (including ring-fencing and viability) of four divestment businesses including several animal health pipeline and on-market products. Involvement of three hold-separate managers and four purchaser approvals. Purchasers of the Divestment Businesses were Dechra, MSD, Vetoquinol and Virbac.
Teva / Allergan Generics M.7746 EC
- Teva’s USD 39.6 billion acquisition of Allergan Generics: MTP has been mandated by the European Commission to monitor the divestiture process of a remedy package that comprised of 10 divestment businesses, including over 650 generics products in 26 EEA countries, a manufacturing plant in the UK and behavioral commitments. Involvement of three hold-separate managers and seven purchaser approvals. Purchasers of the businesses included Alvogen, Aurobindo and Intas/Accord Healthcare.
Maersk Line / Hamburg Süd M.8330 EC / FNE (CL) / SAMR (CN)
- Maersk Line’s EUR 3.7 billion acquisition of Hamburg Süd: MTP has been acting on behalf of the European Commission, the Fiscalía Nacional Económica (FNE, Chile) and the Ministry of Commerce people’s republic of China (SAMR, China) to monitor Maersk Line’s adherence to certain behavioral commitments related to container shipping trades covering Europe, the Americas and Asia.
ChemChina / Syngenta M.7962 EC / CCI (IN)/ FTC (US)
- ChemChina’s USD 43 billion acquisition of Syngenta: MTP has been monitoring on behalf of the European Commission, the FTC (the United States) and the Competition Commission of India (CCI, India) the divestiture of a broad portfolio of agrochemical products across a wide range of jurisdictions to Amvac and Nufarm and the proper execution of certain behavioral commitments.
